Legal Agreements That Can Make or Break Your Business Sale

When selling a business, the quality of your legal agreements can determine whether your transaction succeeds, gets derailed, or results in post-closing disputes. Here are the key legal documents that matter most in a business sale transaction.

1. The Letter of Intent (LOI)

The LOI is the first substantive agreement in most transactions. It establishes the framework for the deal, including price, structure, and exclusivity. 2. The Purchase Agreement

Whether structured as an asset purchase agreement or a stock purchase agreement, this is the central transaction document. It defines exactly what is being sold, the representations and warranties each party makes, the indemnification framework, conditions to closing, and post-closing obligations. Weak representations and warranties can expose a seller to significant post-closing liability.

3. Non-Compete and Non-Solicitation Agreements

In virtually every business sale, the buyer will require the seller to sign non-compete and non-solicitation agreements restricting the seller from competing against the business or soliciting its clients and employees for a defined period. The scope and duration of these restrictions vary significantly and require careful negotiation, particularly given evolving state law on enforceability.

4. Transition Services and Consulting Agreements

If the seller will play a role in transitioning the business to the buyer after closing, the terms of that arrangement should be documented in a separate transition services or consulting agreement. Ambiguity about the seller's post-closing obligations and compensation is a common source of dispute.
